Procedures for changing intestment certificates

For various reasons, investors have to change the investment certificate. What is this procedure and how to implement it effectively?

WHEN TO IMPLEMENT THE PROCEDURE FOR CHANGING INVESTMENT CERTIFICATES

For many reasons, enterprises need to change the contents of investment certificates such as investor information, enterprise information, investment project information (objectives, scale, location, capital, and duration of investment projects, etc.). To implement these changes, the investor must carry out the procedure to adjust Investment Certificate and Enterprise Registration Certificate.

jurisdiction FOR CHANGING INVESTMENT CERTIFICATES

• For investment projects in industrial parks, export processing zones, hi-tech parks and economic zones, the jurisdiction to change investment certificates shall belong to the management boards of industrial parks, export processing zones, hi-tech parks and economic zones where investment projects are implemented.
• For investment projects not located in industrial parks, export processing zones, hi-tech parks or economic zones, the jurisdiction to change investment certificates shall belong to Departments of Planning and Investment.

APPLICATION FOR CHANGING INVESTMENT CERTIFICATES

• An application form for amendment of the investment registration certificate;
• A copy of the investment registration certificate;
• The decision of the company owner regarding the amendment of the investment certificate;
• A copy of company charter;
• The report on the implementation of the project;
• Project monitoring report;
• Audited financial statements;
• Renting contract and other documents related to the place of renting;
• Explanation on the amendment of the investment certificate;
• A letter of recommendation

Especially, when carrying out the procedures for changing the Investment Certificate, the dossier format should be noted:

• The dossier should be made in Vietnamese or Vietnamese and a commonly used foreign language;
• The dossier should be bound;
• Hard cover should be used (use no ring files);
• Contents (in the order of the above-mentioned documents);
• On the cover of the dossier, Name of Company/ Project, Type of dossier (new/ amended/ dissolved) should be clearly stated;
• Information of the payer (Name, phone number, address) should be clearly stated.

DURATION FOR RESOLUTION OF DOSSIERS FOR CHANGING INVESTMENT CERTIFICATES

Within 10 working days from the date of receipt of complete dossiers, the Investment registration agency shall amend the Investment Registration Certificate. In case of refusal to amend the Investment Registration Certificate, the agency must notify the investor in writing and clearly state the reasons.
